Terms of use
These terms cover Praxis Percussion, operated by Backwerd Rimshot, LLC ("Praxis Percussion", "we"). By requesting access or using the service, you agree to them. Paid workspaces are available to adults at published prices. Real student information may be handled only in an organization explicitly activated and labeled "Real student records."
Some uses require additional documents. Turning on real student records in a private studio requires the activation disclosure; keeping records about students under 13 additionally requires the Under-13 Records Addendum. Where you accept one of those, it forms part of these terms for your organization, and the exact version you accepted is recorded with your acceptance.
If these terms conflict with a document you accepted for a specific purpose, that document controls for the subject it covers. If we have signed a separate written agreement with your school or district, that agreement controls over these terms for that organization.
Check the workspace label before entering student information. Accounts are for teachers, directors, and other adults. A workspace labeled "Fictional records only" accepts fictional examples only. Real student information belongs only in a workspace explicitly labeled "Real student records," and remains subject to that organization's approved scope.
Praxis Tech Workspace
Praxis Tech Workspace is for adults managing independent percussion-service operations. Do not enter student-private information in Tech. Tech is a private provider workspace, not a marketplace, an LMS, or a payment processor. Client organizations and contacts are adult operational records; a public profile is optional. Directors do not receive Tech accounts, but an authorized director may receive access to the Tech Director Portal for the records and actions Praxis explicitly enables there.
Praxis Tech membership is $7 per month or $70 per year. The 30-day trial requires no payment card and does not automatically become a charge. To continue after the trial, you add a payment method yourself. You may cancel from Membership at any time and keep access through the end of your current paid billing period. If you ask within 30 days of your first Tech membership payment, we will refund it in full; paid access ends when that refund is completed. To request a refund, email taylor@backwerdrimshot.com.
Praxis charges only for workspace membership. Directors pay technicians directly. Tech may record invoice and payment status for completed billable work, and may generate, display, or deliver invoice records through enabled email and portal workflows, but it does not collect Tech-to-director payments.
Who may use Praxis Percussion
- You must be 18 or older and use Praxis Percussion for teaching or evaluating it.
- Access to the teaching platform is by request and granted at our discretion. We may decline or withdraw access.
- Keep your sign-in link and any access codes to yourself. Tell us promptly if you think someone else has used your account.
- The free student practice apps require no account and may be used by anyone.
Your content
You keep ownership of what you enter — lesson records, library and inventory entries, repertoire plans, and similar. You give us permission to store and process it only to operate the service for you. We do not sell it, use it for advertising, or share it beyond the infrastructure described in the privacy notice. You may request a copy or deletion at any time.
Student records in a private studio
A private studio or independent teaching practice activated for real student records keeps records about the students its teacher actually teaches, entered and maintained by the teacher. For each student record you enter, you represent that:
- you teach the student, or are responsible for the teaching the record documents;
- any parent or guardian notice, permission, or consent required by applicable law, school policy, or your own enrollment or lesson agreement with the family was obtained before the record was entered; and
- you will keep evidence of that permission and provide it if we, a parent or guardian, or a regulator reasonably asks for it.
Entering a record is your representation that the required permission exists. Praxis Percussion does not independently verify that representation, and no product behavior — including the optional guardian confirmation flow — should be read as verifying it.
No age limit is stated here, deliberately. A private studio may keep records about students of any age, subject to each organization's recorded activation scope — and records about students under 13 additionally require that studio's acceptance of the Under-13 Records Addendum, which carries further representations. The permission representation above is what carries the weight, and it is the same representation whatever the student's age. Students never receive accounts, sign-ins, or access codes in a private studio, in any mode.
Your responsibility for the records you enter
You will defend, indemnify, and hold harmless Backwerd Rimshot, LLC, and its owner, members, and personnel, from and against any third-party claim, demand, investigation, regulatory proceeding, loss, liability, damage, penalty, or reasonable cost (including reasonable legal fees) arising out of or relating to:
- a student record you entered for which a parent or guardian notice, permission, or consent required by law, school policy, or your own enrollment or lesson agreement did not exist;
- your breach of the representations in "Student records in a private studio" above, or in the Under-13 Records Addendum if you have accepted it; or
- your use of the service outside your organization's approved scope.
We will tell you about any such claim promptly, let you control its defense with counsel we can reasonably accept, and cooperate with you at your expense. You may not settle a claim in a way that requires us to pay money, admit fault, or take on an obligation, without our written agreement.
This does not apply to any part of a claim that arises from our own breach of these terms, our violation of law, or our failure to operate the service as the privacy notice describes. Our responsibility for those stays ours.
Tell us promptly
Tell us at taylor@backwerdrimshot.com without undue delay, and no later than five days after you learn of it, if:
- a parent or guardian objects to a record you entered, or asks what is held about their child;
- you discover that a permission you represented did not exist;
- you receive a complaint, inquiry, subpoena, or legal demand from a family, school, or regulator concerning records you keep in Praxis Percussion; or
- you become aware of unauthorized access to your workspace or your account.
You will cooperate reasonably with us in responding, including giving us the evidence of permission you agreed to keep. Telling us late can limit how we are able to respond, including under our insurance.
This section allocates responsibility between you and us. It is not COPPA verifiable parental consent, it is not a finding that COPPA does not apply, and it does not substitute for either. Schools and districts are a separate path with their own requirements, and nothing in this section applies to them.
Copyright and the sheet music library
The library stores descriptive information about music you own — titles, publishers, holdings, and physical copies. It does not store or distribute scores or parts, and it must not be used to circumvent copyright. You are responsible for the legality of the copies you hold and for what you record about them.
Acceptable use
- Do not enter real student information in a workspace labeled "Fictional records only," or outside an activated organization's approved scope.
- Do not attempt to access another organization's data, probe or disrupt the service, or bypass the student-data controls.
- Do not upload unlawful content or use Praxis Percussion to infringe copyright.
- Do not resell or provide the service to others as your own.
What we do not promise
The service is provided as is, without warranties of any kind. We do not promise it will be available, uninterrupted, or error-free. Keep your own copy of anything you cannot afford to lose. Activated production workspaces — Tech and Studio alike — are not treated as disposable: we do not reset, wipe, or discard their records as a matter of course, though this does not create a warranty or guarantee uninterrupted service.
Praxis Percussion reports what it observed and states what it did not measure. It does not evaluate physical playing — grip, rebound, tone, dynamics, or timing — and must not be used as if it did. Teaching judgements remain yours.
Some features use automated assistance to suggest — a search result, a draft, a proposed column mapping. Those are suggestions for you to review and accept, never decisions the service makes for you, and they are not applied to your records unless you apply them.
Studio founding pilot
The founding Studio pilot rate is closed to new customers. Studio Solo is sold at published pricing — $15 per month, or $144 per year — after the automatic 30-day trial.
If your studio already holds the founding rate, you keep it. That rate is granted a year at a time and renewed while service remains continuous.
For a studio holding the founding rate: cancellation takes effect at the end of the paid month, with no partial-month proration. On request within 30 days after the first payment settles, we will refund that first payment in full; a confirmed full refund ends paid access. To request a refund, email taylor@backwerdrimshot.com. The pilot's short-form agreement controls its exact scope.
Commercial access currently operates in report mode: the service records when a paid-access rule would deny a feature but may not yet enforce that denial. This does not weaken the separate workspace data-mode, authorization, or student-data controls.
Subscriptions, renewal, and payment
Paid plans are sold at the prices shown at checkout, in US dollars, and are billed in advance through our payment processor. We do not see or store your card details. The price, the billing interval, and the date of your first charge are shown to you for review before you buy, and your acceptance is recorded against exactly what you were shown.
Your plan renews automatically at the end of each billing period, at the then-current price for that plan, until you cancel. You can cancel at any time from your workspace under Membership, or by emailing us. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then. We do not prorate or refund a partial period except where these terms say otherwise.
If we change the price of a plan you are on, we will tell you by email at least 30 days before it takes effect, and the new price applies from your next renewal. If you do not want it, cancel before then.
Prices are exclusive of sales and similar taxes, which we add where we are required to collect them.
If a payment fails, we may retry it and will email you. If it stays unpaid, we may suspend paid features. We will not delete your records because of non-payment without telling you first and giving you a reasonable chance to export them.
Program first-payment refund
For Praxis Percussion Program, you may request a full refund of your first settled payment within 30 days after that payment settles. This applies to annual and monthly plans, including purchases paid through a manual school or purchase-order process. Email your request to taylor@backwerdrimshot.com. If we receive your request within the 30-day window, it remains eligible even if processing finishes after that window. Your paid Program access ends when the refund is completed.
Limitation of liability
To the fullest extent permitted by law, Backwerd Rimshot, LLC is not liable for indirect, incidental, or consequential damages, or for lost data or lost profits, arising from your use of the service. Our total liability is limited to the greater of fifty US dollars or the fees you paid us during the twelve months before the claim.
Ending access
You may cancel at any time, effective at the end of your current paid billing period, and ask us to delete your account. We may suspend or end access if these terms are broken — in particular if real student information is entered in a fictional workspace or outside an activated organization's approved scope — or if we discontinue the service. We will give reasonable notice where we can.
Getting your records out
You can export your records at any time, and those exports stay available whatever your paid-access state — including after paid access ends.
Ending paid access does not by itself delete anything. Your records stay until you ask us to remove them, or until the teaching relationship or the organization itself ends. When one of those happens, we erase them within 60 days under our documented retention and deletion standard. You can ask us to delete them at any time and we will, under that same standard and window.
What continues after you stop
If your access ends for any reason, these sections continue to apply: your responsibility for the records you entered, telling us promptly, what we do not promise, the limitation of liability, who these terms are between, governing law and where disputes are heard, and anything else that by its nature is meant to continue. Our commitments to a parent or guardian in the privacy notice and the Under-13 Records Addendum also continue, exactly as those documents say.
Who these terms are between
These terms are an agreement between you and us. No student, parent, guardian, school, district, or other person acquires any right under them, and no one other than you and us may enforce them.
This does not limit any right a student, parent, or guardian has under applicable law, or any commitment we make to them directly in the privacy notice or the Under-13 Records Addendum — including a parent's ability to ask what we hold about their child, ask for it to be corrected, or ask for it to be deleted, whoever subscribes.
Transfers
You may not transfer these terms or your account to anyone else without our written agreement. We may transfer them to a successor in connection with a merger, acquisition, reorganization, or sale of the business, and we will tell you if that happens.
Changes
If these terms change, the new version will be posted here with a new version number and effective date. For most changes, continuing to use Praxis Percussion after that date means you accept the new version. For a material change — new data categories or recipients, changed retention, or new external write or delete behavior — we will require you to explicitly re-acknowledge the new version before your next affected action (such as Checkout) rather than relying on continued use alone.
Governing law and where disputes are heard
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. The state and federal courts located in Tarrant County, Texas have exclusive jurisdiction over any dispute arising out of or relating to these terms or the service, and you and we each consent to that jurisdiction and venue. Nothing here prevents either of us from seeking urgent injunctive relief in any court that can grant it.
